By registering for and/or attending this Event (the “Event”), you hereby consent and agree to the terms and conditions as well as the Event Privacy Policy set forth below (collectively, the “Code of Conduct”), which form a binding legal contract between you and HashiCorp, Inc. (“HashiCorp”). This Code of Conduct applies to you whether you attend the Event in-person or virtually.

If you are a HashiCorp employee attending this Event, the Code of Conduct below does not apply to you, but you hereby acknowledge that you are obligated to comply with the policies and agreements under which you are contractually bound in your capacity as a HashiCorp employee as well as applicable laws and regulations.

The Event is meant to be an insightful, collaborative, and engaging forum as well as a collegial learning environment filled with opportunities to network and connect with other attendees. HashiCorp is committed to providing a positive, safe and respectful environment that is open to everyone, regardless of sexual orientation, disability, gender, race, ethnicity, or religion. To that end, HashiCorp has implemented this Code of Conduct for the Event to establish guidelines regarding expected behavior from all attendees, as well as prohibited conduct, consequences for such conduct, and methods for reporting it.

Expected Behavior

While registering for and attending the Event, all attendees will:

• Comply with all applicable laws and regulations, the rules and policies of the applicable venue, the terms and conditions of this Code of Conduct, and any other rules and instructions that HashiCorp may provide from time to time.
• Be truthful and provide accurate information
• Behave appropriately and treat all other attendees in a kind, respectful, and friendly manner
• Refrain from any of the Prohibited Behavior listed below
• Report any misconduct at the Event that potentially violates the Code of Conduct to Justin Wiggins jwiggins@hashicorp.com.

Prohibited Behavior

The list of Prohibited Behavior below will not be tolerated at the Event. Prohibited Behavior includes but is not limited to the items below.

While attending the Event, attendees SHALL NOT:

• Engage in any disruptive, disorderly, rude, or obscene speech and behavior
• Engage in any discriminatory, derogatory, homophobic, sexist, harassing or otherwise offensive speech and behavior
• Engage in any violence, threaten violence or threaten any person
• Make any insults or disparaging remarks to any other person
• Record, capture, reproduce, or broadcast any of the virtual or in-person events at the Event and capture any photos or videos of other attendees without receiving their consent
• Fail to comply with any of the venue policies and local laws/regulations
• Solicit or sell of products or services without the prior written approval of HashiCorp
• Smoke (other than in any designated areas), consume alcohol (except where permitted) and possess or consume any illicit substances
• Possess any weapon or firearm

Consequences of Prohibited Behavior

If Prohibited Behavior occurs, HashiCorp in its sole discretion may take any action it deems appropriate based on the circumstances, ranging from issuing a warning to the offending attendee to immediately removing the offending attendee from the Event. HashiCorp also reserves the right to exclude any offending individual from attending future events. Depending on the situation and the severity, Prohibited Behavior may also potentially lead to other penalties and liabilities.

General Release

As an attendee of the Event, HashiCorp may include your image, appearance, voice, likeness, and messages or questions submitted in any public channel hosted by HashiCorp during the course of the Event (“Recordings”). By registering for the Event, you hereby grant HashiCorp permission to use your likeness and any Recordings in a photograph, video, or other digital media, in any and all of its publications, including web-based publications and live streams or broadcasts, without payment or other consideration. All intellectual property rights in and to the Event, its content, the Recordings, and all materials distributed at or in connection with the Event are owned by HashiCorp, Inc. You hereby irrevocably authorize HashiCorp to (during the Event or anytime in the future after the Event has ended) edit, alter, copy, exhibit, publish, broadcast, live stream, or otherwise globally distribute these photos, videos, Recordings, or any other media for any lawful purpose without any further approval from you. In addition, you waive any right to royalties or other compensation arising or related to the use of your likeness or Recordings as described herein. You hereby hold harmless, release, and forever discharge HashiCorp from any and all claims, demands, and causes of action, which you, your heirs, representatives, executors, administrators, or any other persons acting on your behalf or on behalf of your estate have or may have by reason of this release.

General Terms and Conditions

You acknowledge and agree that HashiCorp, in its sole discretion, reserves the right to change any and all aspects of the Event, including but not limited to, the Event policies, content, program, speakers, moderators, venue, and time. This Code of Conduct may be modified by HashiCorp at any time in its sole discretion. HashiCorp also reserves the right to exclude any prospective participant from registering.

Limitation of Liability

HASHICORP WILL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR (i) ANY LOST PROFITS OR OPPORTUNITIES, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR INDIRECT DAMAGES OF ANY KIND, OR (ii) DIRECT DAMAGES IN EXCESS OF THE AMOUNT PAID BY YOU TO HASHICORP UNDER THIS AGREEMENT.

Event Data Use and Privacy

HashiCorp may collect personal information about you through this Event via in-person communications, by telephone, letter, email or when you visit HashiCorp’s website. Such information may include your name, residential address, mailing address, telephone number and email address (the “Contact Details”). You explicitly consent to HashiCorp: (a) processing the Contact Details for administration and event planning purposes; and (b) transferring the Contact Details outside the European Economic Area, and/or having such Contact Details processed by a third party pursuant to the terms of this Agreement. You may request that HashiCorp provide access to the Contact Details, and the ability to update, modify, or delete the Contact Details upon written request.
