This document sets out the terms and conditions between Framer B.V and you when you purchase a ticket or register for any event or conference organized by Framer B.V or participate in any survey of Framer B.V By purchasing a ticket or registering for an event or conference organized by Framer B.V or participating in a survey you are agreeing to comply with and be bound by these terms and conditions. You should read this document carefully.

Framer B.V reserves the right to change these terms and conditions at any time. Any amended terms and conditions will be posted on this website.

CONFERENCE ORGANISER

Loupe is being organized by Framer B.V, a Dutch company, which is in the main business of selling design software.

DECLARATION OF CONSENT

I hereby give my consent for Framer B.V (and its subsidiaries and assigns) to collect, process and use my personal data for the purposes of processing the purchase of my ticket and for any other use to which I have consented, including the importation of contact information for which I have provided my explicit prior consent.

This information will be used for the purposes of processing ticket sales and compiling attendee lists which will be published on our websites and across any relevant online portals, websites or platforms, and circulated by email to our email database, which includes all past and current attendees. If you do not wish your name, photograph, country where based and company name to appear on the attendee list please email loupe@framer.com.

PURCHASING TICKETS

I hereby give my consent for the mandatory and voluntary data collected from me in the course of purchasing and or registering for tickets sold by Framer B.V (and/or other group companies). I further give my permission for my personal details to be stored. I acknowledge that I may provide Framer B.V. a reasonable timeframe to remove my details at any time that I no longer wish them to be stored. I acknowledge and accept that my data will be used for commercial purposes in accordance with this Data Protection Policy and Declaration of Consent and will be retained and stored for this purpose. Should you wish your data to be removed you must request Framer B.V to do so in writing. Requests will be processed within a 30-day period.

ONLINE SURVEYS

I hereby give my consent for Framer B.V to store any voluntary information I may provide in the course of participating in an online survey. I acknowledge and accept that my data will be used for commercial purposes in accordance with this Data Protection Policy and Declaration of Consent and will be retained and stored for this purpose.

TICKET REGISTRATION

I hereby give my consent for Framer B.V to use for the purposes of processing complimentary or otherwise ticket registration the mandatory data and any voluntary data I provide when registering a complimentary admission ticket. I further give my consent for the voluntary data provided. I acknowledge and accept that my data will be used for commercial purposes in accordance with this Data Protection Policy and Declaration of Consent and will be retained and stored for this purpose.

EVENT INFORMATION

I acknowledge that Framer B.V will not provide transport or travel expenses to or from any event or conference.

USE OF PERSONAL DATA FOR ADVERTISING PURPOSES

Framer B.V will not share your address, e-mail address, credit card information or personal information to any third party without your permission. I hereby give my consent for Framer B.V to store the following types of data as a profile for internal purposes:

• Mandatory and voluntary data collected when purchasing tickets.
• Mandatory and voluntary data collected when registering a complimentary admission ticket as well as the date of the ticket registration.
• Voluntary disclosures when participating in online surveys.
• If I have opted-in to receive email communication about related events I give consent for Framer B.V or subsidiary companies or assigns to analyze and use the data for the purpose of targeted advertising communications to me on relevant topics and products in connection with Framer B.V or subsidiary events and promotions.
• Data collected from any connected social media for which I have provided my explicit prior consent.
• I acknowledge that my data may be used for marketing purposes by Framer B.V or a third party to contact me by phone or e-mail to ascertain my views on our services, which will be similar to the ones to which I have already subscribed.
• I also give my consent for my data to be updated and supplemented with additional data.
• Accordingly, I give my consent for Framer B.V (and subsidiaries and assigns) to collect data relating to me personally from public domain sources and to store these along with my personal data that are already under the control of Framer B.V (and subsidiaries and assigns).
• Framer B.V has free lifetime use of any image or video content created by attendees at Loupe.
  
  

PERSONAL INFORMATION

When personal information (e.g. name, e-mail address, work address, phone numbers, and other contact information) is provided through the Loupe website or directly to us by e-mail you give consent to Framer B.V for:

• Processing and administering your personal data to perform all necessary actions to give effect to your request or instructions
• Retaining a record of incoming and outgoing communications (e.g. email) to process your personal data as outlined in this Privacy Statement.

Information we receive from credit reference and fraud detection agencies or other third parties we may use to verify your information. We may ask you to complete surveys for research purposes, although you do not have to respond to them.

RIGHT OF RECTIFICATION OR ERASURE

If Framer B.V holds incorrect information about you which was originally submitted by you through this website, you have the right to have the data amended. Further, you have the right to have any information you have sent to us via this website erased. Please note that Framer B.V is not required to rectify or erase your data where doing so would prevent you from meeting your contractual obligations to Framer B.V or where Framer B.V is required to process (including retaining) your personal data for a lawful purpose in accordance with the Data Protection Acts. In the event of any conflict between these terms and the provisions of the Data Protection Acts, the Data Protection Acts shall prevail.

SECURITY

The security of your Personal Information is important to us. However, no method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your Personal Information, Framer B.V cannot guarantee its absolute security and cannot accept any liability where the security of your Personal Information is compromised. The security of your personal information is important to us. When you enter sensitive information (such as credit card number) on our registration or order forms, we encrypt that information using secure socket layer technology (TLS/SSL).

CHANGES TO THIS POLICY

Framer B.V reserves the right to modify this Data Protection Policy and Declaration of Consent at any time. Any changes will be posted on our homepage and other places we deem appropriate so that you are aware of the changes.

REFUND AND CANCELLATION POLICY

All purchases of tickets for conferences and events are non-refundable in their entirety after the 14 days cooling off period. Hotel rooms reserved through booking links provided on the Loupe website and in email communications regarding the event are subject to the individual terms and conditions of the respective property. Framer B.V will not be held liable for any claims in relation to hotel rooms. Your ticket remains the property of Framer B.V and is a personal revocable license, which may be withdrawn, and admission refused at any time upon a refund of the printed registration price.

In the unlikely event of cancellation of a conference or event, the liability of Framer B.V is limited to the share of paid registration fees that remains after credit card and payment processing fees have been incurred and deducted.

It is strictly forbidden for any company, organization or attendee to attempt to host or organize any event in conjunction with, contiguous to or purporting to be related to Loupe or its affiliates without the express prior permission and cooperation of Framer B.V In the event of a breach of these terms any tickets purchased will be rendered null and void. Framer B.V reserves their right to take such legal action including a claim for damages as may be appropriate.

The tickets purchased are for your own personal use or that of your business only and may not be resold under any circumstances, including but not limited to use as part of any promotion or competition. Where there has been any resale or attempted resale of any tickets (or any other breach of this term), we reserve the right to cancel the relevant tickets with immediate effect.

We reserve the right to cancel any ticket purchase made by any person or body whom we reasonably believe to be associated with any ticket broker or tout.

Framer B.V reserves the right to refuse admission to any event or conference for any behavior, which it deems unacceptable, or for breach of the terms and conditions. All attendees are expected to abide by the event Code of Conduct, which can be found at framer.com/loupe/conduct

Framer B.V will not be responsible for any tickets that are lost or stolen. You consent to film and sound recording as attendees at any event or conference.

Framer B.V and its subsidiaries and assigns will not be liable for any loss injury or damage to any person or property howsoever caused (save for death or personal injury as a result of Framer B.V’s negligence or for any other type of liability that cannot by law be excluded or limited.)

Framer B.V will not be liable for the granting of any visas that are required to attend any event or conference. In the event that an attendee’s visa is not granted, tickets will be refunded at the sole discretion of Framer B.V.

Name changes will be facilitated free of charge. No name changes will be facilitated 21 days prior to the commencement of the event and the ticket price will be forfeited.

In the event that the purchaser is a consumer and to whom the European Directive on Consumer Rights (Directive 2011 / 83/ EU) applies, the consumer would be entitled to a cooling off period of fourteen days which would begin on the day the contract for distance selling was concluded.

COMPLAINTS

Complaints can be made to loupe@framer.com. We will endeavor to resolve any customer complaints where reasonable.

EVENT CANCELLATION, POSTPONEMENT & SUBSTITUTION POLICY

Framer B.V is not responsible for any loss or damage as a result of a substitution, alteration, cancellation or postponement of an event. Framer B.V shall assume no liability whatsoever in the circumstances that an event is canceled, rescheduled or postponed due to a fortuitous event, unforeseen occurrence or any other event that renders performance of an event impracticable, illegal or impossible. For purposes of this clause, a fortuitous event shall include, but not be limited to: war, fire, labor strike, extreme weather or other emergencies.

Please note that while speakers and topics are confirmed at the time of publishing, circumstances beyond the control of the organizers may necessitate substitutions, alterations or cancellations of the speakers and/or topics. As such, Framer B.V reserves the right to alter or modify the advertised speakers and/or topics if necessary without any liability to you whatsoever. Any substitutions or alterations will be updated on our web page as soon as possible.

DELIVERY POLICY

Once a successful purchase transaction has been completed, tickets are delivered in electronic soft-copy via email to the email address nominated by the purchaser. For some ticket types, it may be necessary to complete required information – such as attendee name or tax identification number – before the tickets can be issued. The ticket acts as a receipt for the transaction and can be used to redeem entry at the event listed on the ticket. A printed hard-copy ticket or an electronic soft-copy ticket detailing the reference number can be used to register at the event. Netherlands law governs these terms and conditions and any dispute is subject to the exclusive jurisdiction of the Dutch Courts.

GENERAL CLAUSES

1. Framer B.V shall be entitled to delegate the duties provision of its obligations under this Agreement.
2. No other terms shall apply to this Agreement and these terms contain the entire agreement and understanding between us in respect of all matters which are referred to herein and supersede any prior, written or oral agreement between us relating to such matters. You confirm that in agreeing to accept these terms you have not relied on any representation that is not expressly included herein and you agree that you shall have no remedy in respect of any misrepresentation which has not become a part of these terms. However, nothing in these terms purport to exclude liability for any fraudulent statement or act.
3. If any part of the terms herein shall be deemed unlawful, void or for any reason unenforceable then that provision shall be deemed to be severable from these terms and shall not affect the validity and enforceability of any of the remaining provisions of the terms.

You agree not to:

• Use the website (or any part of it) for any illegal purpose and agree to use it in accordance with all relevant laws;
• Upload or transmit through the website (i) any computer viruses, macro viruses, trojan horses, worms or anything else;
• Use the website in a manner which (i) may cause the website to be interrupted, damaged, rendered less efficient or such designed to interfere with, interrupt or disrupt the normal operating procedures of a computer or (ii) any material which is defamatory, offensive, or of an obscene or menacing character, or that may cause annoyance, inconvenience or needless anxiety; (iii) that the effectiveness or functionality of the website is in any way impaired or (iv) violates or infringes the rights of any person, firm or company (including, but not limited to, rights of intellectual property, rights of confidentiality or rights of privacy) of the website;
• Create or publish a hypertext link to any part of the website or attempt any unauthorized access to any part or component;
• Copy or distribute any part of the website in any medium without our prior written consent; and
• Alter or modify any part of the website other than as may be reasonably necessary to use the website for its intended use.

We reserve the right to:

• Modify or withdraw, temporarily or permanently, the website (or any part of it) with or without notice to you.
• Change these Terms from time to time. Your continued use of the website (or any part of it) following such change shall be subject to and including the changes made to the terms from time to time.
• Monitor any activity and content associated with the website.
• We may investigate any reported violation of these Terms to confirm that we shall not be liable to you or any third party for any modification to or withdrawal of the website; and/or deemed to be your acceptance of such change. It is your responsibility to check regularly to determine whether the Terms have been changed. If you do not agree to any change to the Terms then you must immediately stop using the website; and/ or complaints relating to the website and take any action that we deem appropriate (which may include, but is not limited to, issuing warnings, suspending, terminating or attaching conditions to your access and/or removing any materials from the website).

LIMITATION OF LIABILITY

Whilst we will use reasonable endeavors to verify the accuracy of any information we place on the website, we make no warranties, whether express or implied in relation to its accuracy.

The website is provided on an “as is” and “as available” basis for your information and personal use only without any representation or endorsement. Unless specified in separate terms and conditions relating to a particular product or service, we make no warranties of any kind, whether express or implied, in relation to the website, or products or services offered on the website whether by us or on our behalf (including free software downloads) including but not limited to, implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security, accuracy, condition or completeness, or any implied warranty arising from course of dealing or usage or trade You acknowledge that we cannot guarantee and therefore shall not be in any way responsible for the security or privacy of the website and any information provided to or taken from the website by you.

INDEMNITY

You agree to be fully responsible for (and fully indemnify us against) all claims, liability, damages, losses, costs and expenses, including legal fees, suffered by us and arising out of any breach of the terms by you or any other liabilities incurred by us arising out of your use of the website, or use by any other person accessing the website using your pc or internet access account.

INTELLECTUAL PROPERTY AND RIGHT TO USE

You acknowledge and agree that all copyright, trademarks and all other intellectual property rights in all material or content contained within the website shall remain at all times owned by us or our licensors. You are permitted to use this material only as expressly authorized by us.

We reserve all rights not expressly granted in and to the website and the content on the website.

ATTENDEES UNDER AGE 18

Attendees under this age are not allowed to enter the conference.

This Privacy Policy explains how Personal Information about our (potential) customers and other individuals using our services is collected, used and disclosed by Framer B.V, Framer Inc. and its respective affiliates ("us", "we", "our" or "Framer"). This Privacy Policy describes our privacy practices in relation to the use of our websites (including any customer portal or interactive customer website) (https://framer.com and http://framer.cloud), our software (Framer), services, solutions, tools, and related applications, services, and programs, including research and marketing activities, offered by us (the "Services"), as well as your choices regarding use, access, storage and correction of Personal Information. It also describes how we collect, use, disclose and otherwise process Personal Information collected in relation to our Services and otherwise in the course of our business activities.

This Privacy Policy does not apply to Personal Information collected about our employees, applicants or other personnel.

By using our Services or by agreeing to our General Terms and Conditions required to use certain of our Services, you agree to the collection, usage, storage and disclosure of information described in this Privacy Policy.

Our Services may contain links to other websites or services; and information practices and/or the content of such other websites or services shall be governed by the privacy statements of such other websites or services.

We may change this Privacy Policy from time to time. PERSONAL INFORMATION COLLECTION

As part of our normal business operations, your usage of our Services, our administration of you as a customer and to comply with local laws and regulations we collect your Personal Information. We will not process Personal Information for other purposes then described in this Privacy Policy.

PERSONAL INFORMATION YOU PROVIDE US

While using our Services, we may ask you to provide us with certain personally identifiable information that can be used to contact or identify you. For example, we collect information when you create an account, request customer support or otherwise communicate with us. The types of information we may collect include basis user information (such as your name, email address, social media avatar, telephone number and photograph), company information and any other information you choose to provide.

We will not collect financial information from you (such as your payment card number, expiration date or security code). All payments to us are handled via a third party, Paddle Ltd (https://paddle.com). We refer to their Privacy Statementhttps://paddle.com/gdpr.

PERSONAL INFORMATION WE COLLECT AUTOMATICALLY WHEN YOU USE OUR SERVICES

When you access or use our Services we automatically collect information about you, including:

Log Information: We collect information about your use of the Services, including the type and version of browser, machine and device you use, access times, usage times, launches, pages viewed, debug, your IP address, the page you visited before navigating to our Services and other statistics.

Information Collected by Cookies and Other Tracking Technologies: We use various technologies to collect information, and this may include sending cookies to your computer or mobile device. Cookies are small data files stored on your hard drive or in device memory that help us to improve our Services and your experience, see which areas and features of our Services are popular and count visits. Social Sharing Features: Our Services may offer social sharing features, which let you share Framer prototypes from our Services with other media, and vice versa. The use of such features enables the sharing of information with your friends or the public, depending on the settings you establish with the company that provides the social sharing feature. We may (in accordance with this Privacy Policy) collect, store and use Personal Information from other media if you use social sharing features. For more information about the purpose and scope of data collection, storage and processing by other media in connection with social sharing features, please visit the privacy policies of the companies that provide these features.

Third Parties: We may also obtain Personal Information about you from third parties, such as LinkedIn, Facebook, Dribbble, Twitter and other publicly accessible sources. Support and Service:When you contact us for support or other customer service requests, we can maintain records related to such requests, including any information provided by you related to such support or service requests.

Marketing or Promotional Communications: We may use your Personal Information to contact you with marketing or promotional materials and other information communications related to Framer.

If you no longer wish to receive marketing or promotional communications related to us, you can at any moment in time by using the unsubscribe button in the email or emailing support@framer.com to request us to stop sending you such communications. Such a request will be processed immediately by us, but in any event within two (2) business days.

PERSONAL INFORMATION WE USE

For individuals in the European Economic Area, our processing (i.e. use) of your Personal Information is justified on the following legal bases:

• the processing is necessary to perform an agreement with you or take steps to enter into an agreement at your request;
• the processing is necessary for us to comply with relevant legal obligations;
• the processing is in our justified interest, and this justified interest prevails over your privacy; and/or
• you have consented to the processing.

We use your Personal Information we collect to:

• perform our agreement with you and with others;
• process, evaluate and complete certain transactions involving the Services;
• operate, evaluate, maintain, improve, customize and develop the Services (including by monitoring and analyzing trends, access to, and use of the Services for enhancing customer experience, security of our Services, advertising and marketing);
• provide you with documentation, communications or any other services you request;
• correspond with you to resolve queries or complaints;
• protect and ensure safety of our Intellectual Property Rights;
• manage, protect against and investigate fraud, risk exposure, claims and other liabilities, including but not limited to violation of our contract terms or (international) laws or regulations;

PERSONAL INFORMATION WE DISCLOSE

We operate worldwide and we may share your Personal Information with our affiliated businesses as part of our business operations, administration of the Services and to comply with local laws and regulations. We may also appoint third party service providers (who will operate under our instructions) to assist us in providing information, products or services to you, in conducting and managing our business, or in managing and improving our Services. We may share your personal data with these affiliates and third parties to perform services that the third parties have been engaged by us to perform on our behalf, subject to appropriate contractual restrictions and security measures, or if we believe it is reasonably necessary to prevent harm or loss, or if we believe that the disclosure will further an investigation of suspected or actual illegal activities.

We reserve the right to share any information that is not deemed Personal Information or is not otherwise subject to contractual restrictions.

Where Personal Information is transferred outside the European Economic Area to our affiliated companies or to third party service providers, we will take steps to ensure that your Personal Information is protected by the same level of protection as if it remained within the European Economic Area, including by entering into data transfer agreements using the European Commission approved Standard Contractual Clauses, or by relying on certification schemes such as the Privacy Shield. We contractually require agents, service providers, and affiliates who may process Personal Information related to the Services to provide the same level of protection for Personal Information as required under the European Union General Data Protection Regulation ("GDPR"). Personal Information transferred by us to Framer Inc. in the U.S. is done under the Privacy Shield.

Framer complies with the EU-U.S. Privacy Shield Framework and Swiss-U.S. Privacy Shield Framework as set forth by the U.S. Department of Commerce regarding the collection, use, and retention of personal information transferred from the European Union and Switzerland to the United States. Framer has certified to the Department of Commerce that it adheres to the Privacy Shield Principles. If there is any conflict between the terms in this privacy policy and the Privacy Shield Principles, the Privacy Shield Principles shall govern. In compliance with the Privacy Shield Principles, Framer commits to resolve complaints about our collection or use of your personal information. EU and Swiss individuals with inquiries or complaints regarding our Privacy Shield policy should first contact Framer at: support@framer.com.

Framer has further committed to refer unresolved Privacy Shield complaints to Jams ADR, an alternative dispute resolution provider located in the United States. If you do not receive timely acknowledgment of your complaint from us, or if we have not addressed your complaint to your satisfaction, please contact or visithttps://www.jamsadr.com/eu-us-privacy-shield for more information or to file a complaint. The services of Jams ADR are provided at no cost to you. If your complaint still remains unresolved, then you have the right to invoke binding arbitration by the Privacy Shield Panel upon written notice to Framer at:support@framer.com.

We may share Personal Information with third parties in connection with potential or actual sale of our company or any of our assets, or those of any affiliated company, in which case Personal Information held by us about our customers and/or users may be one of the transferred assets.

In accordance with our legal obligations, we may also process Personal Information, subject to a lawful request, to public authorities for law enforcement or national security purposes. Further we may also disclose Personal Information where otherwise required by local law or regulations.

SECURITY

The security of your Personal Information is important to us. We therefore aim to safeguard and protect your Personal Information from unauthorized access, improper use or disclosure, unauthorized modification or unlawful destruction or accidental loss, and we utilize and maintain certain reasonable processes, systems, and technologies to do so. This also means that our personnel is only allowed to access or process Personal Information if this is reasonably required to do so for work related tasks, to adhere to your request or to fulfill a legal obligation on behalf of us.

Please remember that no method of transmission over the internet, or method of electronic storage, is 100% secure or error-free. While we strive to use commercially acceptable means to protect your Personal Information, we cannot guarantee its absolute security. Accordingly, we cannot be held responsible for unauthorized or unintended access that is beyond our control.

Account Password: We strongly encourage you to pick a strong password (use a long password made up of numbers, letters and symbols), that is different from other accounts you use and to update your password regularly.

Transferring Personal Information: As also mentioned above, where Personal Information is transferred outside the European Economic Area to our affiliated companies or to third party service providers, we will take steps to ensure that your Personal Information is protected by the same level of protection as if it remained within the European Economic Area, including by entering into data transfer agreements using the European Commission approved Standard Contractual Clauses, or by relying on certification schemes such as the Privacy Shield. We contractually require agents, service providers, and affiliates who may process Personal Information related to the Services to provide the same level of protection for Personal Information as required under the European Union General Data Protection Regulation ("GDPR").

Personal Information Breach: In the case of a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, Personal Information transmitted, stored or otherwise processed by us about our customers and/or users, we shall without undue delay and, where feasible, not later than 72 hours after having become aware of it, notify the Personal Information breach to the local supervisory authority, unless the Personal Information breach is unlikely to result in a risk to the rights and freedoms of natural persons. When the Personal Information breach is likely to result in a high risk to the rights and freedoms of natural persons we shall communicate the Personal Information breach without undue delay on our security page, unless we have alreadyi) implemented appropriate technical and organizational protection measures, and those measures are applied to the Personal Information affected by the breach, in particular those that render the Personal Information unintelligible to any person who is not authorized to access it, such as encryption, or ii) we have taken subsequent measures which ensure that the high risk to the rights and freedoms of natural persons is no longer likely to materialize.

RETENTION OF PERSONAL INFORMATION

In general the collected Personal Information is not stored by us for longer than three years, unless you do a prior deletion request.
